1. Acceptance of Terms

By accessing, browsing, registering for, or using ChronoBay, you confirm that you have read, understood, and agreed to these Terms and any policies incorporated herein by reference.

These Terms constitute a legally binding agreement between you and ChronoBay.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts under applicable law to use ChronoBay.

By using the Platform, you represent and warrant that:

• You meet all eligibility requirements
• All information you provide is accurate and complete

ChronoBay reserves the right to request proof of identity or age at any time and may suspend or terminate accounts that fail to comply.

3. Nature of the Platform (Marketplace Role)

ChronoBay is a peer‑to‑peer marketplace connecting independent buyers and sellers of luxury watches.

ChronoBay:

• Does not own, manufacture, store, inspect, authenticate, or sell listed items
• Does not act as agent, broker, dealer, or representative of any user
• Does not process or handle payments between users
• Is not a party to any transaction between users

All transactions occur directly between buyers and sellers. ChronoBay assumes no responsibility for:

• The authenticity, legality, safety, or condition of listed items
• The accuracy of listings
• The ability of sellers to sell
• The ability of buyers to pay
• The outcome of any transaction

Users acknowledge that all transactions are conducted entirely at their own risk.

4. User Responsibilities and Conduct

Users agree to:

• Provide accurate, current, and complete information
• Maintain the confidentiality of account credentials
• Comply with all applicable laws and regulations
• Conduct transactions in good faith

Users are strictly prohibited from:

• Listing counterfeit, stolen, fraudulent, or illegal goods
• Misrepresenting authenticity, ownership, or condition
• Engaging in fraud, deception, or unlawful activity
• Circumventing the Platform to avoid potential fees
• Harassing, threatening, or abusing other users

ChronoBay reserves the right, at its sole discretion, to remove listings, restrict access, suspend, or permanently terminate accounts suspected of violating these Terms or applicable laws.

5. Verification

ChronoBay may request identity documents, proof of ownership, business documentation, or other verification materials at any time.

Failure to comply may result in account suspension or termination.

Submission of documents does not create any obligation for ChronoBay to investigate, validate, or guarantee the legitimacy of any user or listing.

6. Fees

ChronoBay may introduce listing fees, subscription fees, transaction fees, advertising fees, or other service fees at any time.

Reasonable notice will be provided prior to implementation. Continued use of the Platform after notice constitutes acceptance of the updated fee structure.

All fees are non‑refundable unless required by applicable law.

7. Disclaimers (No Warranties)

The Platform is provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, ChronoBay disclaims all warranties, express or implied, including but not limited to:

• Merchantability
• Fitness for a particular purpose
• Non‑infringement
• Accuracy or reliability of listings
• Continuous or error‑free operation

ChronoBay does not guarantee:

• The authenticity of watches listed
• That transactions will be completed
• That users will act lawfully
• That disputes will be resolved

Users assume full responsibility for evaluating counterparties and items before completing transactions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, ChronoBay and its owners, directors, officers, employees, affiliates, and agents shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or reputation
• Fraud, misrepresentation, or misconduct by users
• Disputes between buyers and sellers
• Loss or damage arising from reliance on any listing

In no event shall ChronoBay's total liability exceed the amount (if any) paid by you to ChronoBay in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless ChronoBay and its affiliates, officers, employees, and agents from and against any claims, damages, liabilities, losses, costs, and expenses (including legal fees) arising out of or related to:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any law or third‑party rights
• Any transaction you conduct through the Platform
• Any content or listings you submit

This obligation survives termination of your account.

10. Dispute Resolution Between Users

ChronoBay is not responsible for mediating or resolving disputes between users.

We may, at our sole discretion, provide assistance, but we are under no obligation to do so.

All disputes arising from transactions are solely between the transacting parties.

11. Termination

ChronoBay may suspend, restrict, or permanently terminate access to the Platform at any time, with or without notice, and at our sole discretion.

Grounds include, but are not limited to:

• Breach of these Terms
• Suspected fraud or illegal activity
• Risk exposure to ChronoBay
• Regulatory or compliance concerns

Termination does not limit our right to pursue legal remedies.

12. Modifications to These Terms

ChronoBay reserves the right to modify, amend, replace, or update these Terms at any time, in our sole and absolute discretion.

Updated Terms will be posted on the Platform with a revised "Last Updated" date.

Your continued use of ChronoBay after changes are posted constitutes acceptance of the revised Terms.

It is your responsibility to review these Terms periodically.

13. Force Majeure

ChronoBay shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, government actions, internet failures, cyberattacks, labor disputes, or natural disasters.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any disputes arising out of or related to these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and ChronoBay regarding use of the Platform and supersede any prior agreements or understandings.
